TERMS AND CONDITIONS

PLEASE READ CAREFULLY. By enrolling in this program, you (the “Participant”) agree to the following terms and conditions that govern the Samsung Rewards Program (“Terms and Conditions”).

A. Overview of Samsung Rewards Program

The Samsung Rewards Program (the "Program") is a loyalty program provided by Samsung Electronics America, Inc. (“Samsung”) through which eligible individuals who have a valid Samsung Account ID, may earn points (“Point(s)”) that will be applied to Participant's Samsung Rewards Account (“Rewards Account") as set forth herein. Where applicable, participants may redeem their Points through Samsung.com or the Shop Samsung application, as described below in Section F.

B. Eligibility and Participation in the Program

1. The Program is open to legal residents of the fifty (50) United States and the District of Columbia, Puerto Rico, and United States Virgin Islands who are at least eighteen (18) years of age or older and have a valid Samsung Account ID from Samsung.com (“Participant(s)”). AN ELIGIBLE MINOR SHOULD HAVE THEIR PARENT’S OR LEGAL GUARDIAN’S PERMISSION TO PARTICIPATE. Void where prohibited by law. Samsung Accounts are free to create and maintain and will be subject to the Samsung Account terms available at https://account.samsung.com/membership/terms. If you do not have a Samsung Account, visit 117.p.syniva.es and follow the links and instructions to create an account. NOTE: Your Samsung Account profile must include your first and last name and email address. If your Samsung Account does not meet this requirement, you may be suspended from the Program. For non-US residents, eligibility for the Program, including the ability to earn and redeem points, is subject to your local laws and regulations. You should contact local authorities with any questions in this regard.

2. Registration: Participants are automatically enrolled in this Program and a Rewards Account is created, wherever Samsung Accounts can be created, when registering a new Samsung Account (effective January 2021) including, but not limited to 117.p.syniva.es and Shop Samsung (the “Shop Samsung App”). Existing Participants who are Samsung Account holders prior to January 2021 are required to register online at https://117.p.syniva.es/us/web/account/my-rewards/ or through the Shop Samsung App with the email address associated with their Samsung Account and agree to these Terms and Conditions. Continued participation in the Program constitutes each Participant's continued full and unconditional agreement to these Program Terms and Conditions, as they may be updated from time to time and representation that Participant meets the eligibility requirements set out in these Terms and Conditions. Those who do not comply with these Terms and Conditions may be prohibited from participating in the Program as determined by Samsung in its sole discretion. There is a limit of one (1) Rewards Account per person/e-mail address, regardless of whether more than one person uses the same e-mail address. The person who is the authorized e-mail account holder of the e-mail address indicated in the Samsung Account (and who otherwise meets the eligibility criteria) will be deemed the Participant.

3. Participant's Personal Information: To learn how Samsung will use the personal information collected in connection with the Rewards Account and/or this Program, read Samsung’s Privacy Policy available at https://117.p.syniva.es/us/account/privacy-policy/ .

4. Receive Notifications from Samsung: By accepting these Terms and Conditions and enrolling in the Program, Participants hereby agree to receive email messaging to the email address associated with their Samsung Account as set forth in Samsung’s Privacy Policy (https://account.samsung.com/membership/pp) and/or push notification messages to their Samsung phone or tablet (“Mobile Device”) from Samsung for promotional, information and/or other purposes. To manage notification settings for Samsung Account, go to “Preferences” at https://account.samsung.com/membership/contents/profile/profile-gate.

5. As permitted by law, Participants may submit privacy rights requests using the Samsung Privacy Portal available at https://117.p.syniva.es/us/privacy/rights/. If Participants submit a request to delete their Samsung Rewards Account, all applicable data associated with the Samsung Rewards Account will be permanently deleted in accordance with applicable laws. Participants forfeit their Rewards Points and Samsung will not be able to provide any customer service related to any previous transactions associated with their Rewards Account once a deletion request has been submitted. If Participant elects to re-enroll in the Samsung Rewards Program after they have deleted their Rewards Account, they may do so but will start with a zero (0) Point balance.

C. Duration, Modification and Termination of the Program

1. Samsung reserves the right to suspend or modify the Program, at its discretion, at any time with or without notice. Termination, modification or suspension may affect a Participant's ability to earn Points or redeem accumulated Points. Participants can redeem Points as set forth in Section E below.

2. A Participant's continued participation in the Program constitutes their acceptance of any changes to these Terms and Conditions.

D. Earning Points 1. Earning Points through Purchase of Samsung Products (Samsung Mobile Device is not required)*: *This method of earning points may not be available to residents of certain states or for purchases made outside of the U.S.; check with local law for any restrictions. Purchases made outside of the U.S. will be subject to the warranty and other conditions of sale for the country where the Samsung Products were purchased. Samsung reserves the right to limit or restrict deliveries of Products to certain countries without prior notice to its customers.

(a) Samsung will offer Points with the purchase of products through Samsung.com and the Shop Samsung App. Participants will earn Points as follows:

(i) Participants must be logged into their Samsung Account at the time of purchase/during purchase check out. If Participant is not logged into their Samsung Account during purchase checkout, Participant forfeits the ability to request Points for that purchase at a later time. Subsequent purchases made while logged in to the Samsung Account will earn points under these Terms and Conditions.

(ii) Participant will receive Points based upon the final purchase price (excluding shipping, taxes and other fees)  paid at check out (whether paid-in-full or approved for Samsung or other financing). The final purchase will be calculated after all discounts, including use of Points to purchase, coupons, promo codes and gift certificates have been redeemed and will not include shipping or taxes or other fees, if any. The number of Points that will be earned will be displayed after check out. Purchases made outside of the U.S. are eligible to receive Points based on the value of the Purchase in U.S. dollars, set by the prevailing exchange rate at the time of the Purchase transaction (excluding shipping, taxes and other fees). The Rewards Account Terms & Conditions do not alter or expand warranty, returns or other terms applied to Products purchased outside of the U.S.

(iii) Points will be applied to Participant’s Rewards Account once applicable return periods have lapsed after delivery date of purchased product or where applicable after chargebacks are complete. In addition, Points will not be applied to Participant’s Rewards Account until fifteen (15) days after the close of the calendar month in which qualifying purchases were completed. Go to

2. Tier Status: Participants may be eligible to earn additional Points and Program benefits based on the Participant’s achieved Samsung Account tier status. There are three (3) tiers: Silver, Gold, and Platinum. Participant’s tier status will be calculated based on the total number of Points earned or offered by any of the methods described in this section during the current calendar year as set forth in the table below.

• 20% discount on Haul Away and Installation services for Samsung home A appliances, as determined by Samsung (discount can be applied up to five (5) times per calendar year)

Participant can achieve a tier status at any point in a calendar year by earning the requisite number of Points as set forth in the table above. That tier status will remain in effect as the minimum tier status for the following full calendar year at 11:59 p.m. Eastern Time (“ET”). Participants must requalify for tier status in future calendar years. Participant’s tier status is based on the highest qualifying Tier Level for which the Participant qualifies.

For example: If a Participant reaches 500 cumulative Points during calendar year 1, the Participant will maintain a “Gold” tier status for the remainder of calendar year 1, as well as all of calendar year 2 (unless Platinum Status is achieved). The Participant’s tier status for calendar year 3 either will be determined based on the cumulative Points earned in calendar year 2 or the cumulative points earned to-date in calendar year 3. The scenario resulting in the highest tier status earned will prevail.

E. Point Value, Forfeiture of Points, & Viewing Points

1. No Cash Value or Transferability. Points do not constitute property, do not entitle a Participant to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable or assignable for any reason. Accordingly, Points are not transferable (a) upon death, (b) as part of a domestic relations matter, (c) from separate Rewards Accounts held by one Participant, or (d) otherwise by operation of law. The sale or transfer of Points is strictly prohibited. Points may not be sold on any secondary market, and any transfer of Points to a secondary market shall be deemed void. Any Points remaining in a Participant’s Rewards Account if the Program is canceled will be forfeited without compensation. There shall be no carry over or transfer of Points to other Samsung programs, unless otherwise determined by Samsung in its sole and absolute discretion.

2. Point Expiration. Points earned will expire at the end of the calendar month one (1) year (twelve (12) months) after they are earned. Points not redeemed during this valid period will expire and be forfeited. Oldest points earned will be automatically redeemed first from Participant’s Rewards Account.

3. Accrued Points Viewable in Participant’s Rewards Account. The number of Points collected by each Participant will be tracked in the Participant’s Samsung Rewards Account. Points will be applied to Participant’s Rewards Account after (i) transaction confirmation; (ii) the applicable return period has lapsed, and/or the applicable chargeback window has closed, and (iii) fifteen (15) days have passed since the end of the calendar month during which an applicable purchase was made. Accordingly,  issuance of Points can take up to sixty  (60) days after the date of a qualifying purchase. Each Participant will have the responsibility of ensuring that their Points are properly applied  to their Rewards Account. Any claim that Points are not reflected accurately in a Participant’s Rewards Account should be directed to [Need Samsung Account Contact Information]no later than seventy-five (75) days following a qualifying purchase. Samsung shall have no liability for any printing, production, typographical, mechanical or other errors in the Points summaries or Participant Reward Account. Samsung reserves the right to invalidate Points from a Participant’s Rewards Account if it determines that such Points were improperly applied or obtained fraudulently. Samsung reserves the right to require proof of accrual of Points and Samsung reserves the right to delay the processing or redemption of any Points without notice to Participants to assure compliance with these Terms and Conditions. Participants are responsible for maintaining the confidentiality of their Participant Rewards Accounts and passwords and for restricting access to their devices and activity on their Participant Rewards Account. Participant agrees to accept responsibility for all activities that occur under their Rewards Account. Without limiting any other remedies, Samsung may suspend or terminate a Participant’s Reward Account if Samsung suspects that a Participant has engaged in fraudulent activity in connection with the Program. Participation in the Program is subject to these Terms and Conditions, as well as policies and procedures that Samsung may adopt or modify from time to time. Any failure to abide by these Terms and Conditions or any policies or procedures implemented by Samsung, any conduct detrimental to Samsung, or any misrepresentation or fraudulent activities in connection with the Program may result, in addition to any rights or remedies available to Samsung in law or equity, in the termination of participation in the Program, as well as forfeiture of Points accrued to date, all as determined by Samsung in its sole discretion.

F. Redeeming Points Earned

Points may be used to purchase products through Samsung.com or the Shop Samsung App at any time once Participants have accrued and have received Points in their Samsung Rewards Account. The total number of Points a Participant can use is the number of Points available in their Rewards Account.

Using Points to Purchase items on Samsung.com and the Shop Samsung App: restrictions apply; may not be available to residents of certain states.) Points may be used to purchase, or reduce the purchase price for, products offered within Samsung.com or the Shop Samsung App when Participant is logged into their Samsung Account. Points may not be used to reduce the  purchase price of Samsung products when Samsung Financing is selected as the payment method.

b) The number of Points available to use for the purchase and its corresponding discount to purchase may be displayed during check out.

c) Points may not be used to pay for shipping or taxes or other fees, if any.

d) Upon completion of checkout, the Points will be deducted from Participant’s Rewards Account. The deduction of Points is final and except as described below in subsections (e) and (f), Points will not be returned.

e) Where return or cancellation of a purchase that included redeeming Points is permitted, Points will be returned to Participant upon cancellation or once Samsung confirms satisfactory return of the purchased product.

f) Where both cash and Points are used for a purchase or where multiple products are purchased but not all products are satisfactorily returned, the Points returned to Participant will be provided on a proportional basis.

G. Points Conversion and Transfer

1.            Points Transfer – Eligibility and Availability

(a)          If a Participant has accrued Rewards Points in multiple countries, the Rewards Points sit in separate Rewards Accounts for each country, each overseen by the Samsung Electronics subsidiary which operates the Samsung Rewards Program in that country.

(b)          Participants may transfer Rewards Points from one Samsung Rewards Program to another (a “Transfer”). In order to use the Transfer feature, Participants must:

i.             Have registered two active Samsung Rewards Accounts: a Sending Account in the Samsung Rewards Program from which the points are being transferred, and a Recipient Account in another Samsung Rewards Program to which the points are being transferred;

ii.            Have registered the Sending Account and Recipient Account to the same Samsung Account; and

iii.           Have at least one (1) Rewards Point in the Sending Account.

(c)           These Terms apply to any Transfer from any Rewards Program outside the U.S. to Participant’s Recipient Account within the U.S. Samsung Rewards Program).

(d)          Participants can only transfer Rewards Points between their own Rewards Accounts. It is not possible to send Points to or receive Points from another person or Samsung Account.

(e)          Participants can request Transfers in the Samsung.com My Page and Rewards Program home page for any Rewards Program in which they have a Rewards Account. Participants can also view their Samsung Rewards history, including details of previous Transfers, on these pages. 

2.            Converting Points

(a)          Samsung Rewards Points can be worth different amounts for each Samsung Electronics subsidiary’s Rewards Program. This reflects different Rewards Points earning and redemption rates and prices of Samsung’s products. Accordingly, prior to any Transfer, the Rewards Points balance, and amount of points selected for transfer from the Sending Account, must first be converted into the equivalent Points value for the Recipient Account.

(b)          The Rewards Points value conversion rate (the Conversion Rate) for the proposed Transfer will be shown on screen, along with the number of Rewards Points being transferred and starting and finishing account balances for both the Sending Account and Recipient Account. Participants are able to review the Conversion Rate and number of points to be transferred to the Recipient Account before confirming the Transfer.

(c)           Samsung determines the Conversion Rate at its own discretion, based in part on the average internal exchange rate used for the preceding month for the currencies used by the Sending Account and Recipient Account. Samsung reserves the right to update the Conversion Rates more frequently, or to adjust the methodology to reflect changing circumstances.

(d)          If the calculation of the points value in the Recipient Account results in a fraction of a Rewards Point, then the value of the Transfer will be rounded to the nearest full Point. 

(e)          Transferred Points will be displayed in the Recipient Account. Participants should contact customer service if a Transfer is unsuccessful, or they believe there has been an error in the Transfer calculation.

3.            Miscellaneous

(a)          Rewards Points subject to a Transfer retain the expiration date they held in the Sending Account.

(b)          A request to transfer Rewards Points cannot be cancelled or withdrawn. However, it is possible to re-convert Points by requesting a reverse Transfer, subject to the restrictions on excessive or fraudulent Transfers set out in Section G.4, below.

(c)           Participants are responsible for managing any personal tax liabilities or obligations arising from the transfer of Rewards Points.

(d)          Samsung does not offer a currency exchange service. The Samsung Rewards Transfer feature is offered as convenience to Participants, enabling them to combine and spend points earned from multiple Samsung Electronics companies. For the avoidance of doubt, the Rewards Points Conversion Rate does not represent or reflect current market exchange rates.

(e)          Each Samsung Rewards Program is subject to its own set of Terms. While the terms and conditions applying to the Transfer feature should be consistent, in the event of any discrepancy, the Terms applying to the Recipient Account shall take priority. For the avoidance of doubt, the same Conversion Rate is used for each pair of Rewards Programs.

4.            Restrictions on Transfers

(a)          Some Rewards Points may not be eligible for Transfer. For example, Rewards Points granted as part of a country-specific promotion or earning opportunity may be non-transferable. Any such restrictions will be explained on your Samsung Rewards Account page.

(b)          Rewards Points Transfers are currently only available between Rewards Programs in the European Economic Area member states, United Kingdom, Switzerland, United States and Korea.

(c)           Samsung may restrict the transfer of Rewards Points between particular Samsung Rewards Programs on the basis of any legal requirements, in which case Samsung will notify you of the exclusions on the Samsung Rewards homepage.

(d)          Participants may be prevented from requesting Transfers if Samsung has reason to suspect that a Transfer request, or any previous transfers, are fraudulent, or aimed at gaming the conversion rates to artificially increase the overall points balance and obtain a foreign exchange profit, rather than redeem the Points through the Recipient Account. Samsung may prevent a Participant from executing multiple International Samsung Rewards Transfers in a short period of time, including repeated small transfers and reversed transfers without any redemptions, as this may compromise the system or cause Samsung to incur significant costs.

(e)          Transfers are subject to all state and federal laws, including taxes, if applicable. 

H. General Terms and Conditions

1. Samsung reserves the right to suspend or discontinue the eligibility of any person who uses, or attempts to use, the Program in a manner inconsistent with these Terms and Conditions or any federal or state laws, statutes or ordinances. In addition to suspension or discontinuance of the Program eligibility, Samsung shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

2. Any attempt by any person to undermine the legitimate operation of the Program may be a violation of criminal and civil law, and, should such an attempt be made, Samsung reserves the right to seek damages from any such person to the fullest extent permitted by law. Samsung’s failure to enforce any of these Terms and Conditions shall not constitute a waiver of this, or any other, provision.

3. Samsung provides the Program to individuals only. Corporations, associations, including school organizations, or other groups may not participate in the Program.

4. All questions or disputes regarding eligibility for the Program or a Participant’s compliance with these Terms and Conditions will be resolved by Samsung in its sole discretion.

5. Samsung is not responsible for any incorrect or inaccurate information supplied by Participants while participating in the Program.

6. Participants are responsible for the payment of any and all taxes which may result from participation in the Program.

7. Participants are responsible for maintaining updated contact information associated with their Samsung Account ID.

8. The Program is subject to all applicable laws and regulations. Void where prohibited.

H. Limitation of Liability

1. Samsung, and its parent, subsidiary, affiliate, franchisees, and related companies, and each of its and their respective officers, directors, employees, shareholders, agents and promotional and advertising agencies, successors, assigns (collectively the “Released Parties”) are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Program information due to technical problems or traffic congestion on the internet, at any web site or any combination thereof. In the event that Samsung.com, the Shop Samsung App, the Pay App and/or the Program is temporarily corrupted or suspended, notice of such will be provided and Participants will be advised to (1) not redeem Points until such time that the Program, as originally intended, may be resumed and (2) that purchases completed during this time period will not generate Points for the Participant.

2. By participating in the Program, each Participant accepts all responsibility for, and hereby releases and agrees to indemnify and hold harmless Samsung and their respective parent companies, subsidiaries, affiliates, agents, promotion and advertising agencies, including, franchisees, and each of their respective officers, directors, employees, shareholders, and successors, assigns, and service providers from and against any claims, liabilities, damages, or expenses that may arise from actions taken by such Participant and/or Participant’s participation in the Program, or for any harm or injury caused by any third party.

3. IN NO EVENT SHALL RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS THAT PARTICIPANT HEREBY WAIVES ANY AND ALL RIGHTS TO ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS FROM SAMSUNG AND ITS LICENSORS. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SAMSUNG’S CUMULATIVE LIABILITY TO PARTICIPANT ARISING FROM ANY CAUSE OF ACTION WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) YOUR ACTUAL LOSS; OR (B) $1,000. THE FOREGOING DISCLAIMERS, EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

4. Dispute Resolution Agreement. These Terms and Conditions include a binding Dispute Resolution Agreement, which includes an arbitration provision. The Dispute Resolution Agreement is at https://117.p.syniva.es/us/support/legal/mobile/ and is incorporated herein. Please review the Dispute Resolution Agreement carefully. It affects your rights. There is a limited thirty- (30-) day right to opt out of the arbitration provision. If a dispute cannot be resolved through the mandatory informal dispute resolution process (which includes a telephone settlement conference, if requested), Samsung and its customers agree to address the dispute through binding individual arbitration (unless customers have timely opted out of the provision) or in small claims court where the customers reside. Class and representative proceedings are not allowed. In arbitration, a neutral decision maker (called an arbitrator) will hear both sides of a dispute and issue a binding decision. There is no judge or jury in arbitration and the arbitrator applies the same law and can award the same individual remedies as a court. The procedures are streamlined in arbitration, including less discovery and appellate review, to help ensure dispute resolution is less burdensome and more cost-effective for everyone.

5. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, Participant’s rights and obligations, or the rights and obligations of Samsung in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of New York.

6. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.
